Welcome to Aidora Labs. These Terms & Conditions govern your access to and use of our website (aidoralabs.in) and our professional software development, consulting, and AI automation services. By browsing our website, booking strategy sessions, submitting inquiries, or signing an engagement contract, you agree to comply with and be bound by these terms.

1. Engagement Models & Services

Aidora Labs delivers digital products and automation pipelines under three distinct engagement models:

  • Fixed-Scope Sprint: Best suited for scoped deliverables (such as website launches, automated email/SMS funnels, or specific chatbot setups). Deliverables, milestones, timeline, and fees are defined in a Statement of Work (SOW) prior to execution.
  • Dedicated Retainer: Client contracts ongoing engineering capacity (weekly or monthly sprints). Our engineers act as an extension of your product team to ship continuous updates, handle deployments, and manage maintenance tasks.
  • AI Audit & Build: A specialized consulting phase to map your operations, followed by a prototype build and full-scale integration.

2. Client Responsibilities & Data Access

To maintain our high-velocity delivery cycles, clients must cooperate in a timely manner. This includes:

  • Providing clear specifications, data structures, templates, or branding assets when requested.
  • Providing secure, temporary credentials or API access keys (e.g., custom database environments, search APIs) necessary for deployment.
  • Reviewing milestones and providing feedback within 3 business days to prevent delivery blockages.

💼 100% Intellectual Property (IP) Guarantee

We believe in full ownership. Upon complete payment of all agreed fees and milestones for a project, 100% ownership of all custom source code, custom configurations, graphics assets, databases, and digital architectures built specifically for your project is legally and fully transferred to you. No ongoing royalties or vendor lock-in.

3. Fees, Invoicing & Payments

Fees and payment cycles are specified in individual SOWs or retainer agreements:

  • Sprint Milestones: Payments are typically divided into upfront, mid-point, and launch milestones. Upfront bookings are required to reserve engineering capacity.
  • Retainer Payments: Monthly retainer cycles are invoiced in advance of each monthly sprint block, with net-7 payment terms.
  • Third-Party Costs: The client is directly responsible for all third-party subscription charges (including Vercel hosting, domain registration, Brevo API usage, OpenAI token consumption, and third-party messaging API fees) unless explicitly included in the SOW.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, customer records, database schema details, proprietary codes, and credentials exchanged during the engagement as strictly Confidential Information. Aidora Labs will not disclose your operational specifics or proprietary database entries to any third party.

5. Limitations of Liability

Aidora Labs builds custom software systems targeting high stability and speed. However, custom integrations operate inside changing environments (such as third-party API adjustments or host updates).

To the maximum extent permitted by applicable law, in no event shall Aidora Labs be liable for any indirect, incidental, special, exemplary, or consequential damages (including loss of business profits, data corruption, or system downtime) arising out of the use or inability to use custom code. Our total cumulative liability is capped at the total fees paid by the client for the specific deliverable causing the issue.

6. Termination

  • Sprints: Either party may terminate a sprint agreement if the other party breaches material obligations and fails to cure such breach within 7 business days of notification.
  • Retainers: Monthly retainer contracts can be terminated by either party with a 15-day written notice prior to the start of the next billing cycle.

7. Governing Law & Jurisdiction

These Terms & Conditions, along with any separate Statement of Work, shall be governed by and construed in accordance with the laws of India. Any legal actions or disputes arising from our services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
